These Terms of Service ("Terms") govern your use of the services provided by Tullany Holdings Ltd., trading as Tullany Company Formations ("we", "our", "us", or the "Company"). By engaging our services or using our website at tullany.org, you agree to be bound by these Terms.

2. Services
We provide the following services:
- Company Formation: Registration and incorporation of companies in Uganda, the United Kingdom, and Caribbean jurisdictions
- Property Services: Property management and related services through LSM Property Services
- Website Services: Website design, development, hosting, and maintenance
- Business Services: Business planning, corporate secretarial, and advisory services
The specific scope of services will be detailed in individual service agreements or quotations provided to you.
3. Client Obligations
By engaging our services, you agree to:
- Provide accurate, complete, and truthful information as required
- Supply all necessary documents and information in a timely manner
- Respond promptly to requests for clarification or additional information
- Pay all fees and charges as agreed
- Comply with all applicable laws and regulations
- Not use our services for any unlawful purpose
- Notify us immediately of any changes to your information
4. Due Diligence and Compliance
As a provider of corporate services, we are required to comply with anti-money laundering (AML) and know your customer (KYC) regulations. You agree to:
- Provide valid identification documents as requested
- Submit proof of address and other verification documents
- Disclose the ultimate beneficial owners of any company being formed
- Provide source of funds documentation where required
- Undergo enhanced due diligence if deemed necessary
We reserve the right to decline or terminate services if we are unable to complete satisfactory due diligence or if we have concerns about the legitimacy of a transaction.
5. Fees and Payment
Pricing
Our fees are as quoted on our website or in individual proposals. All prices are subject to change without prior notice, although quoted prices will be honoured for accepted engagements.
Payment Terms
- Company formation services require full payment before commencement
- Ongoing services are invoiced monthly or as agreed
- Payment is due within 14 days of invoice unless otherwise stated
- We accept bank transfer, mobile money, and other payment methods as specified
Late Payment
Late payments may incur interest at 2% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances.
6. Refund Policy
- Government fees: Non-refundable once submitted to relevant authorities
- Service fees: Refundable only if we are unable to complete the service due to our fault
- Cancellation: If you cancel after work has commenced, fees for work completed will be retained
- Website services: Deposits are non-refundable; balance refundable if cancelled before development begins
7. Timelines and Delivery
We endeavour to complete services within the timeframes indicated. However, timelines are estimates and may be affected by:
- Delays in receiving required documents or information from you
- Government processing times which are outside our control
- Public holidays and office closures
- Requests for additional due diligence
- Technical issues or force majeure events
We will keep you informed of any delays and work to resolve them promptly.
8. Intellectual Property
Website Services
Upon full payment:
- You will own the content you provide
- Custom designs created specifically for you will be assigned to you
- We retain the right to use anonymised examples of our work in our portfolio
- Third-party components (fonts, images, plugins) remain subject to their respective licences
Our Materials
All templates, processes, methodologies, and proprietary materials remain our intellectual property.
9. Confidentiality
We will treat all information you provide as confidential and will not disclose it to third parties except:
- As required to provide our services (e.g., to government registries)
- As required by law or regulatory authority
- To our professional advisers under duty of confidentiality
- With your prior written consent
10. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability for any claim shall not exceed the fees paid for the relevant service
- We shall not be liable for indirect, consequential, or special damages
- We shall not be liable for delays or failures beyond our reasonable control
- We do not guarantee the approval of any registration or application by government authorities
We provide services with reasonable skill and care but do not provide legal, tax, or financial advice unless expressly stated. You should seek independent professional advice where appropriate.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your breach of these Terms
- False or misleading information provided by you
- Your violation of any applicable laws
- Your use of companies or structures formed through our services
12. Termination
Either party may terminate the service relationship:
- By providing written notice for ongoing services
- Immediately if the other party breaches these Terms
- Immediately if required by law or regulatory obligation
Upon termination, all outstanding fees become immediately due, and we will provide reasonable assistance in transitioning services.
13. Dispute Resolution
Any disputes arising from these Terms or our services shall be:
- First, attempted to be resolved through good faith negotiation
- If unresolved, submitted to mediation
- If still unresolved, subject to the exclusive jurisdiction of the courts of Uganda
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to conflict of law principles.
15. Website Use
By using our website, you agree:
- Not to use the website for any unlawful purpose
- Not to attempt to gain unauthorised access to any part of the website
- Not to interfere with or disrupt the website's operation
- That the website is provided "as is" without warranties
16. Amendments
